Business customer terms

Terms for using Oak

These terms apply to business use of the Oak AI CFO service. Any signed order or Enterprise agreement takes precedence where it expressly differs from these terms.

1. Business service

Oak is supplied for business and professional use, not personal or household use. The person creating a workspace confirms that they are authorised to act for the customer and to accept these terms. Each customer must provide accurate account information and keep access credentials secure.

2. The service

Oak provides financial-data import, calculations, conversational AI, decision-support analysis and plan-dependent reporting tools. Features, usage limits and supported integrations depend on the purchased plan. We may improve or change the service provided that its overall contracted purpose is not materially reduced during a paid term.

3. Customer information

The customer retains its rights in information it uploads or connects and grants us the rights necessary to host, secure, process and transmit that information to provide the service. The customer confirms that it has a lawful basis and all necessary permissions to supply financial, employee, supplier and customer information. Unnecessary special-category or highly sensitive personal information must not be uploaded.

4. Acceptable use

Customers must not use Oak unlawfully; attempt to access another workspace; bypass usage, billing or security controls; introduce malicious code; reverse engineer protected service components except where law permits; use output to mislead another person; or present unreviewed AI output as audited accounts, regulated advice or a professional assurance opinion.

5. Subscriptions and payment

Self-service subscription fees, billing frequency and taxes are shown at Stripe checkout. Subscriptions renew until cancelled through the Stripe customer portal. A customer’s first self-service subscription may begin with a free trial, shown at checkout; the payment card is collected when the trial starts and is charged when it ends unless the subscription is cancelled before then. Oak emails a reminder before the first charge, and the free trial is available once per customer. A cancellation normally takes effect at the end of the paid billing period. Enterprise pricing, services and cancellation terms are set out in the applicable order. Plan access changes only after Oak receives verified billing confirmation.

6. Availability and security

We take reasonable measures to keep Oak secure and available but do not promise uninterrupted or error-free operation. Customers must maintain their own accounting records, source exports and appropriate business-continuity procedures. Planned maintenance, provider failures and events outside reasonable control may affect availability.

7. Decision-support limitation

Oak is not an accountant, auditor, tax adviser, lawyer, investment adviser or regulated financial adviser. Output may be incomplete, incorrect or unsuitable for a customer’s circumstances. Material financial, tax, legal, employment, lending, fundraising or investment decisions must be checked against the source ledger and reviewed by an appropriately qualified human adviser.

8. Responsibility and liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill or business opportunity. Unless a signed order states otherwise, our total aggregate liability arising from the service is limited to the subscription fees paid or payable for the affected workspace during the 12 months before the event giving rise to the claim.

9. Suspension and termination

We may suspend access where reasonably necessary to protect the service, investigate abuse, comply with law or address unpaid fees. On termination, the customer should export required information promptly. Account deletion and legal retention are handled as described in the Privacy Notice.

10. Changes and governing terms

Material changes will be notified through the service or the customer’s registered contact. Continued use after the effective date constitutes acceptance where permitted. Unless a signed order states otherwise, these terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.
